Adani incorporates subsidiary for nuclear power venture

Mumbai, Apr 20 (UNI) Adani Power Ltd informed the stock exchange here on Monday that it has incorporated a wholly owned step-down subsidiary called Coastal-Maha Atomic Energy Ltd, which will undertake the generation, transmission and distribution of power from nuclear reactors.
The company stated in a regulatory filing, that CMAEL has been incorporated by Adani Atomic Energy Ltd (AAEL), a wholly-owned subsidiary of Adani Power.
The development has come after the company’s February 12 announcement of its incorporation of AAEL, which marked its entry into the nuclear power segment.
CMAEL was incorporated on April 13, with the certificate of incorporation received on April 18.
The entity has been set up with an authorised capital of Rs 5 lakh, divided into 50,000 equity shares of Rs 10 each, with subscription made in cash.
As per the filing, CMAEL is fully owned by AAEL, which in turn is a wholly owned subsidiary of Adani Power, making it a step-down subsidiary of the listed entity.
The company added that no governmental or regulatory approvals were required for the incorporation at this stage.
The development comes amid a broader policy push by the Centre to expand private sector participation in nuclear energy.
In recent statements, the government has signalled its intent to open up the nuclear power value chain through potential changes to existing legal frameworks, while retaining strategic control over critical areas such as fuel management and safety oversight.
The relatively modest initial capital suggests that the company is in an early-stage setup phase, likely to scale as projects and regulatory clearances progress.
The structure allows flexibility for future capital infusion aligned with project development needs.
CMAEL will operate in the nuclear energy sector, with a mandate to generate, transmit, and distribute power derived from nuclear or atomic sources.
The company’s formation signals Adani Power’s intent to diversify beyond conventional thermal power and position itself in alternative energy segments.
While no immediate regulatory approvals were required for incorporation, the nature of the business indicates that future operations will likely involve extensive compliance frameworks.
Ownership remains tightly held within the group, with 100 percent of CMAEL owned by Adani Atomic Energy Limited, and in turn, 100 percent of Adani Atomic Energy Limited held by Adani Power.
This ensures complete strategic and operational control as the company builds capabilities in a highly specialised sector.
The structure also simplifies decision-making and aligns the subsidiary’s direction with the parent company’s long-term energy strategy.
Adani Power’s move to set up a nuclear-focused subsidiary underscores its intent to broaden its energy portfolio while maintaining full ownership control over emerging business verticals.
