Tata Trusts board meeting on Monday to discuss Tata Sons listing, Chandrasekaran's extension

Mumbai, Jun 6 (UNI) The forthcoming Tata Trusts board meeting on June 8, Monday, is expected to discuss sensitive issues like the potential listing of Tata Sons, whether Tata Sons Chairman N Chandrasekaran must be given an extension and also deliberate on Tata Trusts Vice Chairman Venu Srinivasan's complaint regarding a promoter trust, according to company officials.
The Tata Trusts collectively own about 66% of Tata Sons, giving them significant influence over the holding company's governance and long-term direction through the veto powers available to their nominee directors.
Presently, Tata Trusts Chairman Noel Tata and Tata Trusts Vice Chairman Venu Srinivasan represent Tata Trusts on the Tata Sons board.
The Monday meeting will primarily involve board members of the Sir Dorabji Tata Trust and the Tata Education & Development Trust, whose trustees include Tata Trusts Chairman Noel Tata, Tata Trusts Vice Chairman Venu Srinivasan, Vijay Singh, Darius Khambata, Neville Tata, Bhaskar Bhat, JN Mistry and Mehli Mistry, officials said.
The Sir Ratan Tata Trust board will not meet because of the ongoing inquiry by the Maharashtra Charity Commissioner into the composition of its board, since Srinivasan's moved the Maharashtra Charity Commissioner challenging the composition of the Sir Ratan Tata Trust board, which had taken Tata Trusts Chairman Noel Tata by surprise.
Srinivasan had complained to the Maharashtra Charity Commissioner that Sir Ratan Tata Trust violated state laws by having more than 25% perpetual trustees and he had supported the continuation of N Chandrasekaran's leadership at a time when Noel Tata has sought greater clarity on losses, capital investment requirements and long-term turnaround plans for Air India, Tata Digital, Tejas Networks and Tata Electronics.
Noel Tata is understood to favour making these businesses self-sustaining through stronger cash flows rather than relying heavily on debt, since increased leverage could complicate efforts to remove Tata Sons from the RBI's upper-layer NBFC category, which would make a stock market listing of Tata Sons mandatory, an option Noel Tata has opposed.
Nevertheless, Tata Trusts Vice Chairman Venu Srinivasan and trustee Vijay Singh favour a stock market listing of Tata Sons, while the Shapoorji Pallonji Group, which is the second-largest shareholder in Tata Sons, has argued that a public issue could improve transparency as well as unlock value.
However, those who do not favour a stock market listing of Tata Sons have written to the Reserve Bank of India (RBI) opposing such a move, arguing that a listing could alter the character of the holding company as well as reduce the resources available for the philanthropic activities of Tata Trusts.
At earlier Tata Sons board meetings, Tata Trusts Chairman Noel Tata had sought assurances on preserving the privately held status of Tata Sons, improving performance of loss-making businesses and facilitating an exit for the Shapoorji Pallonji Group from its Tata Sons shareholding, without Tata Sons having to list on the stock market.
Yet, Tata Sons Chairman N Chandrasekaran has maintained that the final decision about the stock market listing of Tata Sons rests with the RBI.
